Terms of Service

By using the Teambook services (the « Service » or « Teambook »), you agree to be bound by these Terms and Conditions and you agree that they are enforceable as if they were a written agreement negotiated and signed by Teambook SA (« Teambook ») and you.
While these Terms may be translated into other languages and made publicly available on the Internet, the English language version shall prevail in the event of any dispute.
Teambook may, in its sole discretion, modify or revise the Terms of Use at any time without notice to you, and you agree to be bound by such modifications or revisions. Unless expressly stated otherwise, any new features that supplement or enhance the current Service will be subject to the Terms of Service. Your continued use of the Service following any such changes constitutes your acceptance of such changes.
The Terms of Service constitute the entire agreement between you and Teambook and govern your use of the Service, superseding any prior agreements between you and Teambook (including, but not limited to, any prior versions of the Terms of Service).
These Terms of Service are subject to change from time to time, so please check back from time to time.
Description of Service
Teambook is a web-based project resource management application. Your use of the Service is at your sole risk. The Service is provided on an « as is » and « as available » basis.
Delivery Method
Teambook is delivered over an Internet connection using a modern browser. The traffic is encrypted with an SSL certificate.
Eligibility
You must be at least thirteen (13) years of age to use the Service. You must provide your current and accurate identification, contact, and other information as may be requested as part of the registration process and/or continued use of the Service. You are responsible for maintaining the confidentiality of your Service password and account, and are responsible for all activities that occur thereunder. Teambook reserves the right to refuse service to anyone at any time without notice for any reason.
Proper Use
You agree to use the Service in compliance with all applicable local, state, national and international laws, rules and regulations, including any laws regarding the transmission of technical data exported from your country of residence. You will not agree to, and will not authorize or encourage any third party to use the Service to upload, transmit or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains viruses or is otherwise objectionable as reasonably determined by Teambook; use the Service for any fraudulent or improper purpose; resell, duplicate, reproduce or exploit any portion of the Service without the express written permission of Teambook; use any robot, spider, other automatic device, or manual process to monitor or copy any content from the Service. Violation of any of the foregoing may result in immediate termination of this Agreement and may subject you to legal consequences.
Payment Terms
A valid credit card may be required to continue using the Service after the initial free trial period. The free trial offer entitles new registered users to a one-time free trial of the Service. The Service is billed in advance on a monthly or on-demand annual basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrades/downgrades of accounts, or unused months with an open account. All fees are exclusive of any taxes or duties imposed by any governmental authority. You are solely responsible for the payment of any such taxes or duties.
Upgrading and downgrading terms
If you upgrade or downgrade your plan level, the credit card on file will automatically be charged the new plan on your next billing cycle. Downgrading your service may result in the loss of content, features or capacity of your account. Teambook will not be liable for any such loss.
Modification to Fees and Services
Teambook reserves the right to modify, suspend or discontinue the Service at any time for any reason with or without notice. Teambook reserves the right to change the Service fees with 30 days notice. Such notice may be given at any time by posting the changes on the Teambook website (https://teambook.soleil-digital.ch) or on the Service itself.
Cancellation and Refund Policy
You are solely responsible for properly canceling your account. You can cancel your account at any time by going to Organization Settings. The Settings page has a simple « cancel account » link. An email or phone request to cancel your account will not be considered a cancellation. There will be no refund if you cancel the service before the end of your current paid month, and you will not be charged after that. There is no cancellation fee. Cancellation is immediate, and all of your Content will be deleted from the Service immediately upon cancellation.
Inactive Accounts and Termination
Teambook will delete accounts that are inactive for 90 days (« inactive accounts »). It is your responsibility to download and save content prior to deletion by Teambook as stated herein.
Teambook may at any time and for any reason terminate the Service, this Agreement, or suspend or terminate your account. In the event of termination, your account will be deactivated and you will not be able to access your account or any files or other content contained in your account, although residual copies of information may remain in our system.
Intellectual Property Rights
The copyrights, trademarks, service marks, logos, slogans and domain names contained in the Service and the Website, including but not limited to all designs, text and images, are, unless otherwise expressly stated, the property of Teambook SA, a company incorporated in Switzerland. Except as expressly provided herein, they may not be copied, transmitted, displayed, performed, distributed (for compensation or otherwise), licensed, modified, framed, stored for later use, or otherwise used in any way, in whole or in part, without the prior written permission of the Company.
You acknowledge that Teambook owns all right, title and interest in and to the Service, including without limitation all intellectual property rights, and that such rights are protected by Swiss and international intellectual property laws. You agree not to copy, reproduce, alter, modify or create derivative works from the Service. You also agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy any content from the Service. Teambook does not claim any intellectual property rights in the material you provide to the Service.
Warranties and Liability
Teambook does not warrant that: (i) the Service will meet your requirements or expectations; (ii) the Service will be timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data; (iii) defects or errors will be corrected; (iv) the mathematical computations performed by the Service are accurate. The Services are provided to you on an « as is » basis only. All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose or non-infringement, are hereby disclaimed to the maximum extent permitted by applicable law. You expressly understand and agree that Teambook shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Teambook has been advised of the possibility of such damages), resulting from your use of the Service.
Privacy
Teambook collects and processes your personal information and the personal Information of your personnel when you (or your personnel, as applicable) access or use the Service. In order to provide you with (and improve) the Service, Teambook may also collect certain information about the performance of the Website and the Service and your (and your personnel’s) use of the Website and/or the Service.
Teambook’s access to and use of all such personal information is governed by Teambook’s Privacy Policy. However, you acknowledge that information transmitted over the Internet is inherently insecure.
Teambook’s Privacy Policy forms part of the Terms; by agreeing to the Terms, you also agree to the way we handle your (and your Personnel’s) Personal Information in accordance with Teambook’s Privacy Policy.
Publicity
You grant Teambook the right to add your name and company logo to our customer list and website. You may opt out of this use by sending an email to support@teambook.soleil-digital.ch.
Indemnification
You agree to hold harmless and indemnify Teambook, and its affiliates, officers, agents, and employees from and against any third party claim arising from or in any way related to your use of the Service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature. In such a case, Teambook will provide you with written notice of such claim, suit or action. The failure of Teambook to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.
